Welcome to MPRO Finance. By accessing our platform, website, API, or services (collectively, "MPRO Finance" or the "Platform"), you agree to be bound by these Terms of Service. Please read them carefully.
1. Description of Services
MPRO Finance provides real-time market data, financial analytics, S&P 500 tracking, quantitative risk metrics, and AI-driven intelligence signals (the "Services"). The Services are designed for educational, informational, and analytical purposes.
2. Regulatory Compliance & Disclaimers
A. MiFID II Compliance: No Investment or Financial Advice
MPRO Finance is NOT a financial advisor, broker-dealer, or portfolio manager.
- All quantitative models, S&P 500 signals, risk matrices, and AI-generated insights provided by the Platform are strictly for informational and educational purposes.
- Under the Markets in Financial Instruments Directive (MiFID II - Directive 2014/65/EU) and relevant national laws, no content on this Platform constitutes a personal recommendation, investment advice, financial planning, or an offer or solicitation to buy or sell any financial instrument.
- Investing in financial markets involves high risk, including the loss of principal. You are solely responsible for your own investment decisions.
B. SOC 2 Trust Services Criteria Alignment
We design, operate, and maintain the Platform in alignment with the SOC 2 Trust Services Criteria:
- Security: Active protection against unauthorized logical and physical access.
- Availability: Ensuring the Platform and S&P 500 feeds remain operational and accessible in accordance with our system metrics.
- Processing Integrity: Safeguarding the mathematical precision of all quantitative formulas, ETL processes, and index valuations.
- Confidentiality & Privacy: Protecting user transaction histories, KYC data, and account metadata from unauthorized exposure.
3. Operational Resilience (DORA Compliance)
To ensure the high operational resilience required for financial data entities, MPRO Finance aligns its practices with the Digital Operational Resilience Act (DORA - Regulation (EU) 2022/2554):
- ICT Risk Management: We maintain robust internal policies, threat detection systems, and response frameworks to identify and mitigate information and communication technology (ICT) risks.
- Incident Classification & Reporting: Any major ICT incident affecting platform availability, data integrity, or user access will be classified, managed, and reported to the competent supervisory authorities in accordance with DORA timelines.
- Business Continuity: We utilize redundant database architectures, transaction replicas, and disaster recovery strategies to ensure core systems can recover from hardware or network failures with minimal recovery time.
4. Cybersecurity & Threat Prevention (NIS 2 Directive)
As a provider of critical financial data analysis services, MPRO Finance implements cybersecurity measures aligned with the NIS 2 Directive (Directive (EU) 2022/2555):
- Supply Chain Security: We actively monitor the security posture of our third-party data feeds, cloud hosting providers, and external API dependencies.
- Vulnerability Management: The Platform is subject to automated penetration testing, static code analysis, and regular security audits to verify the strength of our defenses.
- Incident Response: Our security team operates on an active threat-monitoring model, logging security events to intercept unauthorized access, session hijacks, and denial-of-service attempts.
5. Account Registration & KYC Compliance
- Eligibility: You must be at least 18 years old and possess the legal capacity to form a binding contract.
- Territorial Restrictions: The Platform is not offered to, and may not be accessed or used by, U.S. persons or residents of the United States of America, nor by any person located in a jurisdiction where such access or use would be contrary to applicable law (including any sanctioned or embargoed jurisdiction). By accessing or using the Platform, you represent and warrant that you are not a U.S. person or U.S. resident and that your access and use comply with all laws applicable to you. We may refuse, restrict, suspend, or terminate access where these conditions are not met.
- KYC/AML: To comply with anti-money laundering (AML) and know-your-customer (KYC) regulations, we reserve the right to request identity verification documents at any time. Failure to provide satisfactory documentation may lead to account suspension or termination.
- Accuracy: You agree to provide accurate, current, and complete information during registration.
6. Platform Security & Hardware MFA
- MPRO Finance utilizes advanced security measures, including session encryption, hardware Multi-Factor Authentication (MFA via WebAuthn/Passkeys), and emergency recovery codes.
- You are solely responsible for maintaining the confidentiality and physical security of your account credentials, passkeys, and recovery codes. MPRO Finance is not liable for unauthorized access resulting from your failure to protect these credentials.
7. Cryptographic Auditing & Log Integrity
- To maintain security and absolute data integrity, MPRO Finance implements a cryptographic, linear, insert-only audit chain (the "Audit Chain").
- All key user actions, configuration modifications, and administrative tasks are permanently recorded on this non-repudiable ledger.
- By using the Platform, you explicitly consent to the cryptographic logging of your actions for security verification and compliance auditing.
8. Prohibited Activities
You agree not to engage in any of the following prohibited behaviors:
- Market Abuse: Using the Platform's analytics to facilitate wash trading, market manipulation, or insider trading.
- Data Scraping: Extracting real-time market data or proprietary quantitative analysis via scrapers, bots, or unauthorized APIs.
- Reverse Engineering: Decompiling, reverse engineering, or attempting to extract the source code or proprietary algorithms of the Platform.
- Security Interference: Attempting to bypass the MFA protocols, corrupt the Audit Chain, or overload our ETL pipelines.
9. Limitation of Liability
- As-Is Provision: The Platform and all market feeds are provided on an "as-is" and "as-available" basis without warranties of any kind.
- Data Latency: We are not responsible for lag, delays, inaccuracies, or interruptions in market feeds or S&P 500 index quotes.
- Liability Cap: Under no circumstances shall MPRO Finance, its affiliates, or its developers be liable for direct, indirect, incidental, or consequential damages (including trading losses or loss of profits) arising from your use or inability to use the Platform.
10. Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Poland and the European Union. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Warsaw, Poland.
